Plain language version of what we agree when we work together. The full legal agreement is sent with each service detail file. This page is a summary, not the contract.
What we do
We provide services to Chinese factories entering the US market. Each service has a separate scope, timeline, and price, agreed in writing before work starts. See Services for the full list.
What we don't do
We don't take title to your goods
We don't act as your exclusive US sales agent
We don't guarantee specific sales volumes or buyer outcomes
We don't do customs brokerage, US legal work, factory financing, or marketing (we refer out)
How pricing works
Pricing is per-service, agreed in writing before work starts
Setup fees are non-refundable once work has begun
Commissions are based on net sales (after returns, discounts, allowances)
Storage and fulfillment fees are billed monthly
Travel costs (for shows, factory visits) are billed at cost
Payment terms
Setup fees: due on signing
Commissions: monthly, due Net 30 from invoice
Storage/fulfillment: monthly, due Net 15 from invoice
Late payment: 1.5% per month interest (compounds monthly)
Cancellations and refunds
Before work starts: full refund of setup fees
After work starts, before completion: partial refund based on work done, at our discretion
After completion: no refund
Ongoing services (warehouse, sales outsourcing): cancel with 30 days written notice; you pay for the 30-day notice period
Confidentiality
Both sides keep each other's information confidential. We don't share your factory details, products, or pricing with anyone without your written permission. We expect the same from you regarding our buyer contacts and pricing.
Standard mutual NDA available on request.
Liability limits
Our total liability for any service is capped at the fees you paid us for that service in the prior 12 months
We're not liable for indirect damages (lost sales, lost buyer relationships, lost profits)
We're not liable for buyer non-payment, buyer rejection of goods, customs delays, or shipping damage
We're not liable for third-party services (customs brokers, labs, warehouses) - those have their own liability terms
Disputes
If we have a disagreement:
Talk first. Email or call. Most issues resolve in conversation.
If unresolved, mediation through a neutral third party (we'll agree on one).
If mediation fails, arbitration in the jurisdiction of our business registration.
This is informal but it's the process we follow.
Force majeure
If something genuinely outside our control prevents us from delivering a service (war, natural disaster, pandemic, government shutdown), we're not liable for the missed delivery. We'll communicate proactively and re-schedule or refund.
Termination by either party
Either side can terminate a service engagement with 30 days written notice
You pay for services rendered through the termination date
Either party can terminate immediately for material breach (fraud, illegal activity, repeated non-payment)
Changes to these terms
We update these terms when our practices change. Material changes are communicated to active clients before they take effect. Continuing to use our services after a material change indicates acceptance.
Governing law
The legal agreement (not this page) specifies the governing law. Typically:
US-registered entity activities: governed by Delaware law
China-registered entity activities: governed by the relevant Chinese provincial law
